Effective Date: 5/22/2025

This Terms of Service Agreement (“Agreement”) constitutes a legally binding agreement between the user (“You”, “Your”) and Launch Partners NYC LLC and Common Denominator c/o Top Honors, Inc. (collectively, “We”, “Us”, “Our”) concerning Your access to and use of the Cash Clash mobile application (the “App” or “Game”).

1. ACCEPTANCE OF TERMS

By accessing, downloading, or using the App, You signify Your assent to these Terms of Service and our Privacy Policy, incorporated herein by reference. If You do not agree to these terms, You must not access or use the App.

2. LICENSE

Subject to Your compliance with this Agreement, We hereby grant You a limited, non-exclusive, non-transferable, revocable license to use the App solely for Your personal, non-commercial use. All rights not expressly granted herein are reserved by Us.

3. INTELLECTUAL PROPERTY

All content, features, functionality, and intellectual property contained in or made available through the App (including but not limited to graphics, gameplay mechanics, UI/UX design, text, sounds, software, and trademarks) are the sole property of Launch Partners NYC LLC and Common Denominator c/o Top Honors, Inc., and are protected by copyright, trademark, and other applicable laws.

You agree not to:

• Reproduce, distribute, publicly display, or create derivative works based on the App.

• Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the App.

• Use any content of the App for commercial purposes without Our prior written consent.

Screenshots may be used for personal or non-commercial sharing purposes.

4. USER ACCOUNTS

4.1 You may be required to create a user account to access the App. Only one account per individual is permitted.

4.2 You are responsible for maintaining the confidentiality of Your account credentials. We reserve the right to delete, suspend, or restrict access to any account that violates these Terms, including but not limited to the use of inappropriate nicknames or engagement in prohibited conduct.

5. GAMEPLAY AND MODIFICATIONS

All gameplay elements, including virtual currency, upgrades, and achievements, are fictitious and do not carry real-world monetary value. We may modify, suspend, or discontinue any aspect of the App at Our sole discretion and without prior notice.

6. USER CONDUCT

You agree not to:

• Use offensive, profane, or inappropriate language in usernames or communications.

• Harass, threaten, or abuse other users.

• Cheat, exploit bugs, or otherwise manipulate the Game in an unfair manner.

• Upload or transmit viruses, malware, or harmful code.

We reserve the right to take enforcement action, including but not limited to account termination, for any violation of these rules.

7. DISCLAIMER OF WARRANTIES

The App is provided on an “AS IS” and “AS AVAILABLE” basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or secure. We are not liable for any data loss, system failures, or performance issues, regardless of the cause or duration.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of use, data, or profits, arising out of or related to the use or inability to use the App, even if We have been advised of the possibility of such damages.

9. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any dispute arising from or relating to this Agreement shall be resolved by binding arbitration in New York County, NY, in accordance with the rules of the American Arbitration Association. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

10. MODIFICATIONS
We reserve the right to update or modify these Terms at any time. Continued use of the App after such changes constitute Your acceptance of the updated Terms.
