Effective Date: 5/22/2025

This User Agreement (“Agreement”) is a legal contract between You (“User”) and Launch Partners NYC LLC and Common Denominator c/o Top Honors, Inc. (collectively, “We,” “Us,” “Our”) regarding Your use of the Cash Clash mobile application (the “App”).

1. LICENSE GRANT

Subject to Your compliance with this Agreement, We grant You a limited, non-transferable, revocable license to install and use the App on a compatible mobile device solely for personal, non-commercial use.

2. ACCOUNT REQUIREMENTS

You must create an account to access the App. Each individual is limited to one account. We reserve the right to suspend or delete accounts for conduct we determine to be inappropriate or in violation of this Agreement.

3. PROHIBITED CONDUCT

You agree not to:

• Use inappropriate or offensive nicknames

• Engage in harassment, threats, or abusive behavior

• Cheat, exploit bugs, or otherwise manipulate the game unfairly

• Distribute malicious software or engage in any harmful activity affecting other users or the App

We reserve the right to suspend, restrict, or delete any account, at Our sole discretion and for any reason, including but not limited to a breach of this Agreement.

4. GAMEPLAY TERMS

The App includes in-game currency and upgrade mechanisms that have no real-world monetary value. We reserve the right to alter game mechanics or remove features at any time without notice.

5. PRIVACY AND DATA

We collect limited, non-personal data as described in Our Privacy Policy. We disclaim all liability for data loss or inaccuracies. You agree that Your use of the App is at Your own risk.

6. DISCLAIMER AND LIMITATION OF LIABILITY

The App is provided “AS IS” without warranty of any kind. We disclaim all warranties, including but not limited to fitness for a particular purpose. We are not liable for indirect or consequential damages, including data loss, under any theory of liability.

7. GOVERNING LAW AND DISPUTES

This Agreement shall be governed by the laws of the State of New York. All disputes shall be resolved exclusively through binding arbitration in New York County, NY. You expressly waive the right to bring or participate in class action lawsuits.

8. AGREEMENT ACCEPTANCE AND MODIFICATION

This Agreement becomes effective upon first use of the App. We may revise this Agreement at any time. Continued use of the App following changes constitutes acceptance of the revised terms.
